MARS Energy Group, a diversified energy and infrastructure company, has acquired Northern California residential roofing and solar contractor Citadel Roofing & Solar, marking its 11th acquisition.

The companies did not disclose the transaction value or the financial terms of the acquisition.

The acquisition expands MARS’ presence in California and its residential roofing and solar operations. Founded in 2015, Citadel serves homebuilders and homeowners in Northern California through new construction roofing and solar, reroofing, and retrofit solar installations.

MARS is a holding company that owns and scales energy infrastructure businesses across the U.S. It provides solar, energy storage, roofing, and electrification services for residential and commercial customers and developers.

“There are acquisitions, and then there are partnerships that simply feel like they were meant to be,” said Manvendra Saxena, Founder, Chairman & CEO of MARS Energy Group. “Citadel is the latter. Dieter and the entire Citadel team have built an exceptional business known for operational excellence, strong customer relationships, and an outstanding culture. From our very first conversation, the values and vision aligned, and everything about it felt right. This partnership is not about changing what has made Citadel successful. It is about investing in it. Together, we will keep building on this platform, preserving the key people, culture, and customer focus that have defined both organizations.”

Customers will continue working with Citadel’s existing teams following the acquisition, the press release said.

MARS said Citadel’s operations will complement its existing commercial and residential energy businesses, broaden its services for California homebuilders, and support further investments in technology and operations.

In May 2026, MARS Energy Group acquired California-based Solar Savings Direct, doing business as Solar and Roof Direct, and Sequoia Roofing & Construction. The company said the acquisitions support its focus on execution, safety, and long-term value creation in California’s residential energy and housing markets.

In 1H 2026, corporate M&A activity in the solar sector increased to 57 transactions compared to 50 transactions in the first half of 2025, as per the recently released Mercom’s 1H and Q2 2026 Solar Funding and M&A Report.
